Charitable, educational, healthcare and social service agencies and programs face a unique array of legal issues, as do individuals and businesses engaged in philanthropic activities. For these clients, we provide sophisticated counsel regarding corporate governance and fundraising matters; fundamental corporate transactions and related government approvals; reimbursement and audit matters; bank financing and tax-exempt financing; compliance and regulatory matters and real estate issues including site identification, acquisition, leasing, construction contracts and environmental issues.

We are experienced in working with both charitable and non-charitable not-for-profit organizations and have significant expertise in formation, application for federal tax exemption, affiliations, mergers and acquisitions, dissolution and other fundamental corporate actions.  We have extensive experience advocating on behalf of service providers before the NYS Office for People with Developmental Disabilities, the NYS Office of Mental Health, the Department of Health and the NYS Office of Addiction Services and Supports. We regularly assist our clients in program development, housing matters and Article 78 proceedings, as needed.

Our Not-For-Profit group regularly advises clients on matters related to board governance and oversight, including related party transactions, internal disputes, code of conduct matters, board composition and structure, compliance and risk management, fiduciary obligations and whistleblower policies. We also perform independent investigations on behalf of not-for-profit corporations and boards relating to oversight, internal disputes and corporate governance matters.

A unique aspect of our practice is association representation and association management.  The New York State Psychiatric Association (NYSPA), the medical specialty association of more than 4,000 psychiatrists practicing in New York State and a division of the American Psychiatric Association, is operated out of our firm. In this regard, our firm’s expertise extends to the law governing physicians and other licensed health care professionals, including HIPAA compliance, licensure, disciplinary matters, confidentiality, documentation and coding, and reimbursement and audit matters.
