Gary Rosner & Alex Widell Speakers For Practising Law Institute’s Business Divorce Litigation CLE Program
Gary Rosner and Alex Widell, partners of the firm and members of the firm’s Business Divorce practice, will be the speakers for the Practising Law Institute’s CLE program “Basics of Business Divorce Litigation” on July 16, 2026 via Zoom.
Gary and Alex will provide a practical overview of business divorce litigation focusing on disputes among owners of closely held corporations and LLCs. They will also examine common triggers for owner disputes, including deadlock, freeze-outs, and fiduciary misconduct, and will compare the statutory frameworks governing dissolution and member/shareholder rights.
Topics to be addressed include:
- Introduction: What Is a business divorce?
- Common triggers of business divorce: Inequitable compensation, deadlock, freeze-outs, diversion of opportunities, divergent views on direction of the company views
- Role of shareholder and operating agreements; importance of drafting these documents to address a business divorce
- Causes of action, remedies, interim relief: Breach of fiduciary duty, minority oppression, derivative vs. direct claims, judicial dissolution, self-dealing, injunctions, appointment of receivers, election to purchase
- Valuation issues and buyouts: “Fair value” intellectual property, corporate assets/receivables/payables, good will, necessity for experts
- ADR, settlement, and practical/ethical considerations
- Mediation strategies, structuring buyouts, counseling clients in closely held disputes
