Richard M. Zaroff

For more than 50 years, Richard M. Zaroff has been an active litigator who has represented both plaintiffs and defendants in a variety of commercial matters of varying degrees of complexity including highly complex multi-jurisdictional and international financial disputes. These litigations have been heard and tried in a wide-range of venues including numerous federal and state courts, and various arbitration tribunals. Mr. Zaroff has also handled ancillary and adversary proceedings in Bankruptcy Courts and Surrogates Courts. He has handled and argued appeals at all levels of the New York State and Federal judicial systems up to and including New York’s highest court, the Court of Appeals and the Second, Third and Fifth United States Circuit Courts of Appeal. These litigations, which Mr. Zaroff has handled through all phases of motion to discovery practice, many of which were tried to decision or verdict, include securities fraud, real estate lease and contract issues, insurance defense, corporate reorganizations, audit, accounting and other fraud claims, fraudulent conveyances, franchise arrangements, RICO claims, breaches of contract (e.g. acquisition, employment, partnership, manufacturing, commodity supply and various brokerage agreements), intentional wrongs (e.g. assault and coercion), will contest and professional fee disputes.

Mr. Zaroff has also practiced actively and extensively in the corporate and securities fields where he handled merger and acquisition transactions, private and public offerings and general corporate and partnership matters. These have included initial and secondary offerings for companies in, among others, the cellular telephone and telecommunications industries and manufacturing businesses. Mr. Zaroff has also represented various companies in real estate financing, and the sales/acquisitions/mergers of a wide-variety of businesses from cellular telephone to computer related companies to telecommunication companies to manufacturers to newspaper publications to financial institutions and professional companies such as accounting firms.
