The Tax Group handles a wide range of federal, state and local, and international tax matters. It has extensive experience in dealing with tax issues that arise in mergers and acquisitions, as well as divestitures, restructurings and spinoffs. It is actively involved on a continuous basis in rendering advice to owners and operators of start-up ventures, closely held corporations and partnerships as well as mature businesses, including the structuring of business enterprises through the utilization of C corporations, partnerships, joint ventures, limited liability companies, limited liability partnerships and S corporations. We have a wide range of experience in handling contested matters before all divisions of the Internal Revenue Service, including Collection, Examination, Appeals, and the New York State Department of Taxation and Finance.

The Tax Group is regularly involved in analyzing state and local tax issues, including taxability of corporations, partnerships, trusts, qualified investment funds, and S corporations. The Tax Group assists a growing number of nonprofit clients with obtaining and maintaining federal tax-exempt status, treatment of unrelated business taxable income, fundraising issues and compliance with federal and state disclosure rules. We also work closely with the Corporate Group in counseling nonprofits on employment matters as well as in structuring affiliated entities consistent with their tax-exempt status.

The Tax Group’s executive compensation and employee benefits practice has grown rapidly in response to the extensive and steady changes in the law. It has a broad range of experience in designing, drafting, and administering qualified and nonqualified deferred compensation plans, stock option plans, and other forms of equity compensation. We counsel clients on employee benefit issues that arise in corporate transactions, and assists in the negotiation and treatment of employee benefit plans in the transaction documents.
