Sasson Marcus is Counsel in the firm’s Corporate, Securities & Financial Services Practice Group, resident in the Manhattan office. Mr. Marcus is a seasoned corporate attorney with over fifteen years of experience and proven ability to achieve consensus, integrate business and legal strategies and obtain strategic objectives. He has extensive experience advising lenders (including middle market lenders and lead arrangers serving the large market) and borrowers (including private equity sponsors and their portfolio companies) on deal structure, strategy and risks of leveraged buyout and refinancing transactions and negotiating and drafting first and second lien, unitranche and mezzanine credit facilities, including cash-based and ABL revolvers.
Prior to joining the firm, Mr. Marcus was associated with the corporate departments of Paul Weiss Rifkind Wharton & Garrison LLP (where he represented borrowers and middle market lenders) and Cahill Gordon & Reindel LLP and Weil Gotshal & Manges LLP (where he represented lead arrangers of large syndicated credit facilities).
Mr. Marcus has also advised angel investors and startups on seed-round and series A investments. His experience also includes negotiating and drafting a wide range of agreements on behalf of technology, consumer product, manufacturing and service companies, including partnership, joint venture, operating, licensing, stock and asset purchase, manufacturing, distribution, supply, employment, services, commission, marketing, consulting and sales agreements.
