David A. Schrader is a partner in the firm’s Corporate and Securities, and Litigation Practice Groups, resident in the Manhattan office.
Mr. Schrader focuses his litigation practice on complex commercial and securities litigation, including failed business transactions, contract disputes, partnership and intra-corporate disputes, investment fraud and real estate matters. Mr. Schrader has extensive experience in the state and federal courts of New York and New Jersey, and has handled numerous arbitrations before FINRA and the American Arbitration Association.
With regard to broker-dealer matters, Mr. Schrader handles the defense of customer arbitrations and industry disputes before FINRA; represents firms and brokers in both FINRA and SEC investigations and enforcement proceedings; counsels firms on regulatory compliance; and assists newly formed firms in broker-dealer licensing applications.
On the corporate front, Mr. Schrader has handled the sale of many small businesses, negotiated and drafted numerous contracts, structured and transacted a 1031 Tax Free Exchange of a long-term commercial lease for the purchase of real property, prepared numerous private placement memoranda for start-up companies, assisted with business structuring; and represented purchasers and sellers in connection with the sale or purchase of their businesses. Mr. Schrader also provides risk management and business management counseling and advisory services.
Throughout his legal career, Mr. Schrader has provided representation to corporate clients in a variety of transactional and litigation matters that have exceeded hundreds of millions of dollars.
In addition to his legal profession, Mr. Schrader currently serves as the Chief Operating Officer of Scythian Biosciences, Inc. a pharmaceutical R&D company currently undertaking pre-clinical testing of a novel treatment for traumatic brain injuries. Mr. Schrader has previously acted as V.P. and general counsel for Laconia Capital Corporation, a broker-dealer, and K-Tex, LLC, a Chinese trading company with offices in Shanghai.
